DIRECT PAYMENTS The Client shall not make any payments direct to the Consultant for duties performed hereunder. All aspects of the consultant’s remuneration and any related matters shall be the sole responsibility of Key People.
RESPONSIBILITIES OF THE CLIENT The client will be solely responsible for allocating tasks to the Consultant, and for the supervision, direction and control of the Consultant from the time he reports to take up duties and for the duration of the contract. Key People shall not in any matter whatsoever be responsible for any acts or omissions of the Consultant whilst performing the Work. The client agrees to comply with its responsibilities under the relevant Health and Safety legislations vis a vis the consultant as if he were an employee of the Client.
LIABILITY Whilst every effort is made by Key People to ensure that the consultant possesses all necessary skills, integrity and reliability as required for the Work, Key People does not accept liability for any loss, expenses, damage or delay arising from the negligence, dishonesty, misconduct or lack of skill of the consultant.
SUMMARY DISMISSAL Nothing contained in the Contract shall prevent the Client from exercising it right to terminate the contract forthwith in the event that the Consultant commits any act which would merit summary dismissal in the event that the Consultant were an employee of the Client.
WORKING HOURS The hours of working of the Consultant shall be as in Attachment A. No payment is due in respect of the Consultant for:
a. days of holiday or leave
b. days of absence on the Consultant’s own activities.
c. days of sickness.
d. days absent for any other reason whether agreed to by the Client or
not.
MOTOR VEHICLES The client will not allow the use by the Consultant of any motor vehicle belonging to the Client, leased or hired by the Client, without providing or procuring the provision of full insurance cover. The provision of any such transport will be at the Clients own risk and cost.
PERMANENT EMPLOYMENT Should the Client wish to offer permanent employment to the Consultant at the termination of this contract, or within a twelve (12) month period thereafter, this must be done with the express permission of Key People. A placement fee will be negotiated between the Client and Key People Limited.
UNSATISFACTORY SERVICE If the contract services of the Consultant are unsatisfactory to the client during the term of this Contract, then the client may request Key People to replace him where upon the Client will be liable to pay only for the work up to the date of the said request. Key People shall endeavour to provide a replacement of suitable experience and competence, but if unable to provide a suitable replacement within seven days from the data of the said request, the Client may at its discretion terminate the Contract forthwith without notice and without any liability to the Client.
H. The implementation of this Agreement is subject to financial acceptance by Client and Contractor.

TERMS AND CONDITIONS FOR THE PROVISION OF CONTRACT PERSONNEL
A. At any time, the client shall be entitled to make any reasonable amendment to the general scope of work to be performed by the Consultant (the work), by written advice to Key People. If a change affects the weekly payment rate and/or the completion date, the parties shall mutually agree upon an equitable adjustment of the same. The change, and any such adjustment, shall be set forth in a written change order issued by the client and signed by Key People. Key People shall thereupon endeavour to that the Consultant performs the work as amended.
B. Notice within the first 30 days and thereafter four working weeks notice in writing is required (or as specified in Attachment A) on either side to terminate this Agreement before the scheduled completion date.
C. All technical data, designs, drawings, calculations and specifications furnished to the Consultant or to Key People by the Client will remain the property of the Client and shall not be reproduced by or on behalf of Key People except as required for the work, and shall be held in strict confidence by Key People. All technical data, designs, drawings, calculations and specifications which are produced for the client in the course of the Work by the consultant shall become and remain the client’s property. Key People shall ensure so far as it is able that the consultant similarly observes the foregoing provisions of this clause.
D. "Force Majeure" means any act, event, cause or occurrence which is not within the reasonable control of either party and which renders a party unable to perform its obligations. If the party is unable to perform its obligations as a result of Force Majeure, performance of such obligations shall be excused during the period of Force Majeure. Such party shall immediately notify the other party of the date of inception of the Force Majeure, and the extent to which it will affect performance.
E. Neither the Contract, not any benefit arising under it, may be assigned or transferred, wither in whole or in part, by either Key People or the client, without prior written consent of the other.
F. The Terms and Conditions of the Contract shall constitute the entire agreement between the parties. It shall constitute the entire agreement between the parties. It shall not be amended except in writing signed by a duly authorised officer of Key People and the Client, and no promise, agreement, or representation not set forth herein or in writing signed by both parties, shall be of any force or effect.
G. The following additional special Terms and Conditions shall be applicable to this Contract, and shall govern should they contradict any other provisions of this agreement.
TIME SHEETS The Client will sign all time sheets properly presented by the Consultant as evidence that the consultant has satisfactorily carried out the work. Such time sheets, once signed by the Client or on its behalf, are binding.
The Client agrees to verify and sign the Contractors time sheets each week. Signature of such time sheets by the Client constitutes acceptance that the Contractor’s services have been provided for the hours indicated on the time sheets, and such services have been satisfactory.
INVOICES Key People shall invoice the Client on a weekly basis (or as specified in Attachment A) for payments due hereunder. The client shall make payments in accordance with relevant invoices direct to Key People.
